Businesses often require capital to manage seasonal changes, fund growth, or adjust accounting practices. There are various financing options available, each with its pros and cons. Our Business Law Team provides essential legal guidance on these options and collaborates with your other service providers, like accountants and bankers, to review and secure corporate financing while safeguarding your interests as a borrower.

Structuring Your Business

Our team evaluates your business’s practical needs, helping you choose the right business structure, and ensuring all setup requirements and compliance procedures are met. We offer guidance on:

  • Selecting the appropriate business structure
  • Assisting with company and society incorporation
  • Facilitating the creation of partnerships, limited partnerships, limited liability partnerships, and family trusts
  • Managing the annual upkeep of minute books and corporate records in compliance with regulatory standards
  • Overseeing corporate restructuring, including capital alterations
  • Handling corporate rollovers, such as Section 85 and 86 rollovers
  • Facilitating share exchanges per Section 51 regulations
  • Advising on estate freezes
  • Navigating joint ventures

Succession Planning

Business owners invest significant time and effort in building their enterprises but often give little thought to an exit strategy. When the topic of transition arises, many plan to sell the business or pass it on as a legacy to a family member. However, these decisions require meticulous planning and specific business measures well ahead of any transfer.

Drafting and Managing Contracts and Agreements

Efficient business operations often rely on consistent service and product delivery, which is facilitated by well-established contracts and agreements. Developing these agreements demands skillful negotiation and precise documentation. Our Business Law Team is here to assist you in creating, documenting, and maintaining these crucial relationships through the formulation of commercial contracts and agreements that not only promote the growth of your business but also safeguard your interests and limit liability. Our Business Law Team specializes in drafting and negotiating a variety of corporate and commercial contracts, including:

  • Franchise agreements
  • Options to purchase
  • Shareholders’ agreements
  • Non-competition agreements
  • Employment agreements
  • Independent contractor and consulting agreements
  • Confidentiality and non-disclosure agreements
  • Commercial and residential leases
  • Equipment leases
  • Intellectual property licensing and distribution agreements
  • Website and online services agreements, encompassing terms of use and privacy policies for online ventures
Debt Recovery

Recovering debts from individuals or entities can be a challenging and frustrating process. At Clark Woods LLP we work to actively pursue the recovery of your owed funds. Prompt action is often crucial in debt collection cases. We begin by conducting essential preliminary checks and dispatching formal demand letters, specifying a deadline for loan or account settlement. If these initial efforts do not yield the desired results, more assertive measures such as court proceedings and debt collection actions may become necessary. With years of experience in handling these matters, our firm is well-equipped to represent your interests. Whether it’s in the courtroom or through alternative dispute resolution methods, we strive to resolve your debt-related issues efficiently and effectively. Your financial well-being is our priority.
